Terms of Service
Effective Date: April 4, 2026
1. Introduction
These Terms of Service (“Terms”) govern your use of the services provided by R3 Revenue (“we,” “us,” or “our”), a sole proprietorship operated by Michael Dutton, located in Maryville, Tennessee. By purchasing or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.
2. Services
R3 Revenue provides AI-powered web infrastructure and business automation services for small businesses, including but not limited to:
- Website design, development, and hosting
- Customer Relationship Management (CRM) systems
- Customer portal and booking systems
- AI-powered chatbot and receptionist services
- Reputation management and review automation
- Invoicing and payment processing integration
3. Subscription and Payment Terms
Billing: Services are billed on a monthly subscription basis. Your subscription begins on the date your account is activated and renews automatically each month on the same date.
Payment Method: All payments are processed securely through Stripe, Inc., our third-party payment processor. By subscribing, you authorize us to charge your selected payment method on a recurring monthly basis.
No Long-Term Contracts: All subscriptions are month-to-month. There are no long-term commitments or cancellation penalties.
Pricing: Current pricing is available at r3revenue.com/pricing.html. We reserve the right to adjust pricing with 30 days’ advance notice to active subscribers.
4. Cancellation and Refund Policy
Cancellation: You may cancel your subscription at any time by contacting us at consulting@r3revenue.com. Cancellation takes effect at the end of your current billing cycle. You will continue to have access to services through the remainder of your paid period.
Refunds: Because our services involve setup, configuration, and ongoing infrastructure costs, we do not offer refunds for partial billing periods. If you are dissatisfied with our services, please contact us and we will work to resolve your concerns before your next billing cycle.
Setup Fees: Any one-time setup fees are non-refundable once work has commenced.
5. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information necessary for service delivery
- Maintain the confidentiality of any account credentials we provide
- Use the services in compliance with all applicable laws and regulations
- Not use the services for any unlawful, harmful, or fraudulent purpose
- Ensure that content you provide for your website does not infringe on third-party intellectual property rights
6. Intellectual Property
Your Content: You retain ownership of all content, logos, images, and materials you provide to us. By providing content, you grant us a limited license to use it solely for the purpose of delivering the agreed-upon services.
Our Work: Custom code, configurations, and designs created specifically for your project are yours upon full payment. General tools, templates, frameworks, and reusable components developed by R3 Revenue remain our property.
7. Service Availability
We strive to maintain high uptime for all hosted services. However, we do not guarantee uninterrupted service. Planned maintenance will be communicated in advance when possible. We are not liable for downtime caused by factors outside our control, including but not limited to hosting provider outages, internet disruptions, or force majeure events.
8. Limitation of Liability
To the maximum extent permitted by law, R3 Revenue and its owner shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of our services.
Our total liability for any claim arising under these Terms shall not exceed the total amount you paid to R3 Revenue in the three (3) months immediately preceding the event giving rise to the claim.
9. Indemnification
You agree to indemnify and hold harmless R3 Revenue and its owner from any claims, damages, losses, or expenses (including reasonable attorney’s fees) arising from your use of the services, your violation of these Terms, or your violation of any applicable law or third-party rights.
10. Third-Party Services
Our services integrate with third-party platforms including, but not limited to, Stripe (payment processing), SendGrid (email), and various AI service providers. These third-party services are governed by their own terms and privacy policies. R3 Revenue is not responsible for the actions, availability, or policies of third-party providers.
11. SMS Terms
Program Name: R3 Revenue SMS Alerts.
Program Description: If you choose to opt in, R3 Revenue may send service updates, account notifications, verification codes, billing or appointment reminders, customer care replies, and occasional product announcements related to your R3 Revenue account or inquiry.
Opt-In: SMS consent is optional and is not a condition of purchase. You opt in by checking the SMS consent box during signup or in your customer portal. The checkbox is not pre-selected.
Message Frequency: Message frequency varies, up to 5 messages per month on average.
Cost: Message and data rates may apply.
Help and Support: Reply HELP for help or contact consulting@r3revenue.com.
Opt-Out: Reply STOP to cancel. You may also use UNSUBSCRIBE, CANCEL, END, or QUIT. After opting out, you will receive one final confirmation message and no further texts unless you opt in again.

12. Modifications to Terms
We reserve the right to update these Terms at any time. Material changes will be communicated via email to active subscribers at least 15 days before taking effect. Your continued use of the services after changes become effective constitutes acceptance of the updated Terms.
13. Termination
We may suspend or terminate your access to services if you violate these Terms, fail to make payment, or engage in conduct that we reasonably believe is harmful to our business or other clients. In the event of termination for cause, no refund will be issued for the remaining billing period.
14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Tennessee, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Blount County, Tennessee. Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation.
